1. Definitions

  • “Company” refers to Open Eyed Executive Services Ltd
  • “Client” refers to the person, business, or organisation engaging our services
  • “Services” refers to all security-related services provided, including but not limited to event security, door supervision, close protection, mobile patrols, and CCTV monitoring

2. Services Provided

Open Eyed Executive Services Ltd agrees to provide professional security services as agreed in writing with the Client. All services will be delivered by appropriately trained and licensed personnel in accordance with UK regulations, including SIA requirements.

3. Booking & Confirmation

  • All bookings must be confirmed in writing (email or contract)
  • The Company reserves the right to refuse or cancel bookings at its discretion
  • A deposit may be required to secure services

4. Payment Terms

  • Payment terms will be agreed prior to service delivery
  • Invoices must be paid within 7–14 days unless otherwise agreed
  • Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998
  • The Company reserves the right to suspend or withdraw services if payment terms are not met

5. Client Responsibilities

The Client agrees to:

  • Provide accurate information regarding the event/site
  • Ensure a safe working environment for security staff
  • Inform the Company of any risks, hazards, or expected incidents
  • Comply with all relevant laws and regulations

Failure to do so may result in termination of services without refund.

6. Staff & Conduct

  • All staff provided are SIA licensed where required
  • The Company maintains the right to replace staff if necessary
  • Security personnel will act professionally at all times

7. Liability

  • Open Eyed Executive Services Ltd will take all reasonable care in delivering services
  • The Company is not liable for:Loss, theft, or damage unless caused by proven negligence
    Events outside of its control (force majeure)
  • The Client is responsible for ensuring adequate insurance cover for their event or premises

8. Insurance

The Company holds appropriate public liability insurance. Proof of insurance can be provided upon request.

9. Cancellations

  • Cancellations must be made in writing
  • The following charges may apply:More than 7 days notice: No charge or deposit retained
    3–7 days notice: 50% of total booking fee
    Less than 72 hours notice: 100% of booking fee

10. Changes to Services

Any changes to agreed services (times, staff numbers, location) must be confirmed in writing. Additional charges may apply.

11. Confidentiality

All information shared between the Client and the Company will be treated as confidential and will not be disclosed without consent unless required by law.

12. Health & Safety

Both the Company and Client agree to comply with all relevant Health & Safety legislation. Risk assessments may be required prior to service delivery.

13. Complaints Procedure

Any complaints must be submitted in writing within 7 days of the service. The Company will investigate and respond promptly.

14. Termination

The Company reserves the right to terminate services immediately if:

  • Staff are put at risk
  • Illegal activity occurs
  • The Client breaches these Terms and Conditions

15. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

16. Amendments

Open Eyed Executive Services Ltd reserves the right to update these Terms and Conditions at any time. Clients will be notified of any significant changes.
